Overview
As General Counsel, you will serve as the company’s primary legal advisor, providing strategic, practical, and proactive guidance across the organization. You will work closely with executive leadership and the Board of Directors to support corporate governance, regulatory compliance, risk management, and strategic initiatives, ensuring the company operates with integrity and in full compliance with applicable laws and regulations.
What You Will Do
- Advise senior leadership and the Board of Directors on complex legal, compliance, and operational issues, providing sound judgment and practical solutions.
- Oversee corporate governance, ensuring effective Board operations, accurate records, and ongoing policy development and oversight.
- Ensure compliance with all applicable laws, regulations, and industry requirements, while maintaining transparent communication with regulatory bodies.
- Provide legal guidance and support on strategic initiatives, including mergers, acquisitions, joint ventures, and other corporate transactions.
- Draft, review, and negotiate a wide range of commercial, corporate, and vendor agreements to protect company interests and mitigate risk.
- Lead and develop the internal legal team, managing relationships and budgets with external counsel.
- Direct litigation strategy, oversee dispute resolution, and manage outside litigation counsel to achieve favorable outcomes.
- Design, implement, and monitor internal compliance programs, training initiatives, and policies to foster a culture of accountability and integrity.
- Monitor emerging laws, regulations, and industry trends, advising leadership on potential business and operational impacts.
- Serve as a trusted advisor on legal education, ethics, and professional standards across the organization.
What You Will Bring
Qualifications:
- Juris Doctor (JD) or equivalent law degree; member in good standing of the Ontario Bar required.
- 7+ years of legal experience in corporate, commercial, and/or regulatory law, preferably including experience gained within an in-house corporate legal department, ideally in a regulated industry.
- Proven history of advising businesses on complex legal and strategic matters.
- Strong leadership and team management experience, including oversight of internal legal teams and external counsel.
- Excellent judgment, communication, and negotiation skills.
- Deep understanding of corporate governance, regulatory frameworks, compliance, and risk management.
Nice to have:
- Experience in the energy industry.
- Experience with M&A or strategic transactions in the energy sector.
- Familiarity with commercial contracts specific to energy or power markets.
